Welcome, and thank you for choosing Transcribel LLC (“Transcribel”, “we”, “us”, or “our”). Transcribel is a transcription and summary service that allows you to upload audio files—which are then transcribed and summarized by AI. Our AI accesses your uploaded audio files, transcriptions, any questions you ask about your transcript, edits you make, and related data. While we will not directly access your content without your permission, such data may be used to troubleshoot issues and, in the future, to help train our AI models.

By clicking “I Accept,” creating an account, or otherwise accessing or using the Service (available at www.transcribel.com), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.


1. Service Overview

Transcribel provides a web-based service that processes audio files to generate transcriptions and AI-generated summaries. We offer multiple service tiers designed to cater to a variety of transcription needs—from a free tier with essential features to subscription-based plans that include enhanced functionalities such as increased transcription limits, advanced sharing options, premium support, and additional capabilities. Detailed descriptions of the available service tiers, including current pricing and specific limitations, are always available on our website at www.transcribel.com.

All subscription fees are billed on a monthly basis. By selecting a service tier and providing your payment information, you authorize Transcribel and our third-party payment processors to charge the applicable fees. You may cancel your subscription at any time, and refunds (if applicable) will be assessed on a case-by-case basis by contacting help@transcribel.com.


2. Eligibility

You may use the Service only if you create an account or sign in using an approved login (e.g., via Google) and if you comply with all applicable laws. While we impose no minimum age requirements beyond what is mandated by local law, by using the Service you represent that your use complies with any relevant age restrictions.


3. Accounts and Registration

To access our Service, you must register for an account. When you do so, you agree to provide accurate and current information and to keep that information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect any unauthorized use of your account, please notify us immediately at help@transcribel.com.


4. Payment and Subscription Terms

Some features of our Service require payment. Prior to any payment, you will have the opportunity to review and accept the applicable fees. All payments are in U.S. dollars. The fees for our various plans are as described above, and Transcribel reserves the right to modify pricing with notice via email.

For subscriptions:

  • Billing will recur monthly on the date of your initial subscription.
  • You must cancel your subscription before the next billing cycle to avoid further charges.
  • Refunds, if applicable, will be handled on a case-by-case basis.

5. License and Use of the Service

Subject to your compliance with these Terms, Transcribel grants you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from any portion of the Service without our express written consent.


6. Ownership; Proprietary Rights

All intellectual property rights in the Service—including its design, text, graphics, software, and underlying technology—are owned by Transcribel or its licensors. Nothing in these Terms grants you any rights to such intellectual property except as expressly provided herein.

Note on Intellectual Property:
You retain ownership of your uploaded audio files and any related content (“User Content”). However, by using the Service, you grant Transcribel a worldwide, non-exclusive, royalty-free license to use, process, store, display, and distribute your User Content solely for the purposes of providing and improving the Service, troubleshooting issues, and training our AI models.


7. User Content and Data Submission

7.1 Uploads and Legal Compliance

When you upload audio files or other content to the Service, you represent and warrant that:

  • The content is legally recorded and that all parties involved have given their consent and are aware of the recording.
  • You have all necessary rights, licenses, and permissions to upload and share such content.

7.2 Use of User Content

By providing User Content, you grant Transcribel the right to access, process, and, where applicable, use your content for:

  • Providing the transcription and summary services.
  • Troubleshooting and customer support.
  • Future training of our AI models (only with appropriate permissions).

AI LLM Chat
You acknowledge that, despite any privacy settings or controls available on the Service, Transcribel may need to access your content in accordance with this Section.


8. Third-Party Services and Integrations

Our Service is provided primarily through our website, but we may use third-party services for payment processing, cloud storage (e.g., Google Cloud, Firebase), and AI functionality (e.g., ChatGPT, Gemini, Claude). These third-party providers are subject to their own terms of use, and Transcribel is not liable for their performance or any issues arising from their use. By using the Service, you agree to be bound by the terms of any such third-party service as applicable.


9. Security and Data Handling

We implement industry-standard security measures to protect your data. While we take reasonable precautions, you acknowledge that no data transmission over the internet or electronic storage system can be guaranteed to be 100% secure. You are responsible for safeguarding your account credentials and must notify us immediately of any unauthorized use.


10. Dispute Resolution and Arbitration

Any disputes arising from or relating to these Terms or your use of the Service shall be resolved by binding individual arbitration in Sacramento, California, under the rules of the American Arbitration Association. Both parties waive their right to a trial by jury and agree not to pursue any class action claims.


11. Modifications to These Terms

Transcribel reserves the right to unilaterally modify these Terms at any time. Material changes will be communicated to you via the email address provided in your account. Your continued use of the Service after such modifications constitutes your acceptance of the new Terms.


12. Termination

Transcribel may suspend or terminate your account or access to the Service at any time, with or without notice, for any reason. Upon termination, you must immediately stop using the Service. All accrued payment obligations shall survive termination.


13. Indemnification

You agree to indemnify and hold harmless Transcribel, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any rights of another party.


14. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. TRANSCRIBEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.


15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRANSCRIBEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL TRANSCRIBEL’S AGGREGATE LIABILITY EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR $100.


16. Miscellaneous

  • Governing Law: These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.
  • Entire Agreement: These Terms, together with our Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and Transcribel regarding the Service.
  • Waivers and Severability: Failure by Transcribel to enforce any provision of these Terms shall not constitute a waiver of that provision. If any part of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
